YESGLASSES TERMS OF USE

These Terms of Use, together with our Privacy Policy and any applicable terms of sale, return, exchange, or other supplemental policies made available through the Website (collectively, the “Additional Policies”), form a legally binding agreement between you (“you” or “your”) and Yesglasses (“Yesglasses,” “we,” “us,” or “our”) governing your access to and use of www.yesglasses.com, including any related websites, mobile features, tools, applications, content, and services we make available (collectively, the “Services”).

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER PROVISIONS SET FORTH BELOW. PLEASE READ THESE TERMS CAREFULLY.

We may revise these Terms from time to time in our sole discretion. Any updates will become effective when posted on the Website, unless otherwise stated. Your continued use of the Services after updated Terms are posted constitutes your acceptance of those changes.

1. Acceptance of Terms

By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any Additional Policies incorporated by reference. If you do not agree to these Terms, you must not access or use the Services.

  2. interfere with or disrupt the operation, security, or integrity of the Services;
  3. gain or attempt to gain unauthorized access to any account, system, data, or network connected to the Services;
  4. use any robot, scraper, spider, crawler, data mining tool, or other automated means to access, monitor, copy, or extract content from the Services without our prior written permission;
  5. upload, transmit, or distribute any harmful code, malware, virus, or other disruptive technology;
  6. impersonate another person or entity or misrepresent your affiliation with any person or entity;
  7. post, upload, or transmit any material that is unlawful, defamatory, obscene, infringing, threatening, harassing, or otherwise objectionable;

The Services and all content and materials made available through them, including without limitation text, graphics, logos, icons, images, product names, product designs, videos, software, interfaces, page layouts, compilations, and other materials (collectively, “Content”), are owned by Yesglasses, its affiliates, licensors, or other content providers and are protected by applicable intellectual property, copyright, trademark, trade dress, and other laws.

Except as expressly permitted in these Terms, you may not copy, reproduce, republish, upload, post, transmit, modify, distribute, display, perform, create derivative works from, sell, license, or otherwise exploit any part of the Services or Content without our prior written consent.

All trademarks, service marks, trade names, logos, and branding displayed through the Services are the property of Yesglasses or their respective owners. Nothing in these Terms grants you any right or license to use them without prior written permission.

6. User Generated Content

You may have the ability to submit, upload, post, or otherwise make available content through the Services, including but not limited to text, reviews, images, and videos (“User Content”).

By submitting User Content, you represent and warrant that:

  • you own or have obtained all necessary rights and permissions to provide such content;
  • your content does not violate any applicable laws or infringe any third-party rights, including intellectual property, privacy, or publicity rights;
  • any individuals appearing in your content have provided appropriate consent; and
  • your content is not unlawful, misleading, defamatory, abusive, or otherwise objectionable.

We reserve the right, but are not obligated, to review, monitor, remove, refuse to display, or modify any User Content at our sole discretion, including where such content violates these Terms or applicable law.

7. Content Usage and Marketing Rights

By submitting User Content through the Services, including but not limited to reviews, images, videos, or other materials, and where applicable providing your consent through the relevant features or submission flows, you grant Yesglasses a non-exclusive, royalty-free, worldwide license to:

  • use, reproduce, adapt, and display such content;
  • display such content on the Services, including product pages, review sections, and community features; and
  • share such content on Yesglasses’ official social media channels for organic brand promotion and community engagement.

User Content, including review images, may be displayed and organized on the Services through browsing and filtering features (such as filtering by product attributes like color, style, or other characteristics) to help users explore products and make purchasing decisions. Such functionality is user-driven and does not involve advertising profiling, behavioral targeting, or cross-context advertising.

Such use is limited to the operation of the Services, website display, community features, and consent-based sharing, and shall be subject to our Privacy Policy and applicable law. We will respect any consent choices you make where such options are provided.

Unless otherwise expressly agreed in writing, Yesglasses does not use customer-submitted User Content, prescription-related information, or facial geometry data for advertising profiling, whether by Yesglasses or any third party.

You acknowledge that no compensation will be provided for such use unless otherwise agreed in writing.

8. Product Information and Website Accuracy

We make reasonable efforts to ensure that all product descriptions, images, pricing, and other content provided through the Services are accurate and up to date. However:

  • product colors and appearance may vary depending on your device and display settings;
  • product images are for illustrative purposes only;
  • availability may change without notice.

We reserve the right to correct any errors, inaccuracies, or omissions at any time, including after an order has been placed.

9. Orders, Acceptance, and Cancellation

All orders placed through the Services are subject to acceptance and availability.

We reserve the right, in our sole discretion, to:

  • refuse or cancel any order;
  • limit quantities purchased;
  • cancel orders suspected of fraud, abuse, or unauthorized resale;
  • cancel orders due to pricing errors or product inaccuracies.

If an order is canceled after payment has been processed, we will issue a refund in accordance with our applicable policies.

11. Shipping and Delivery

Shipping and delivery timeframes provided through the Services are estimates only and are not guaranteed.

We are not responsible for delays caused by:

  • shipping carriers;
  • customs clearance or international shipping processes;
  • incorrect or incomplete address information provided by you; or
  • circumstances beyond our reasonable control.

Unless otherwise required by applicable law, risk of loss and title for products pass to you upon delivery of the products to the carrier.

12. Returns, Exchanges, and Refunds

Returns, exchanges, and refunds are governed by our Return and Exchange Policy, which is incorporated into these Terms by reference.

You agree to review and comply with the applicable Return and Exchange Policy before making a purchase.

We reserve the right to refuse returns or exchanges that do not meet the conditions set forth in our policies.

13. Prescription and User Input Responsibility

Certain products and features available through the Services may require you to provide information, including but not limited to prescription details, pupillary distance (PD), and other measurements.

You acknowledge and agree that:

  • you are solely responsible for the accuracy, completeness, and validity of all information you provide;
  • any prescription information you provide is valid and, where applicable, issued by a licensed eye care professional;
  • all measurements, selections, and inputs are correct and up to date; and
  • you have the legal right to provide such information.

Yesglasses does not independently verify or confirm the accuracy of prescription information or user-provided measurements.

To the fullest extent permitted by law, Yesglasses shall not be responsible or liable for any issues, errors, discomfort, dissatisfaction, or damages arising from inaccurate, incomplete, or outdated information submitted by you.

Prescription and measurement information is used solely for order fulfillment and related customer service, in accordance with our Privacy Policy.

14. No Medical or Professional Advice

The Services, including any tools, content, recommendations, or guidance, are provided for general informational and convenience purposes only.

Yesglasses is not a medical provider, and nothing on the Services should be interpreted as medical, optical, diagnostic, or professional advice.

You should consult a qualified eye care professional or other appropriate professional for any medical or vision-related concerns.

Any reliance on information provided through the Services is at your own risk.

15. Face Shape and PD Measurement Disclaimer

The Services may include tools or features that allow you to upload images or provide data for purposes such as face shape analysis, pupillary distance (PD) estimation, or product fit recommendations.

You acknowledge and agree that:

  • such tools rely on user-submitted information and automated or assisted estimation processes;
  • results are approximations only and may not be precise or clinically accurate;
  • outputs may vary depending on image quality, positioning, lighting conditions, device characteristics, and other factors; and
  • these tools are not a substitute for professional measurements or advice.

You are solely responsible for verifying any measurements or recommendations before relying on them for purchases or other decisions.

In addition, certain features may provide face shape analysis and product recommendations based on images you voluntarily upload. You acknowledge and agree that such analysis is performed solely to provide requested functionality and recommendations, is based on user-initiated input, and does not involve identification of individuals, creation of biometric identifiers, or use for advertising profiling.

16. Virtual Try-On and 3D Try-On Disclaimer

The Services may include virtual try-on features, including photo-based simulations and, where available, 3D visualization technologies.

These features are provided for illustrative and convenience purposes only.

You acknowledge and agree that:

  • virtual representations may not accurately reflect actual product size, proportions, fit, color, or appearance;
  • differences may occur due to display settings, image quality, rendering limitations, and environmental conditions; and
  • virtual try-on results do not guarantee real-world fit, comfort, or appearance.

Any decisions based on virtual try-on results are made at your own discretion and risk.

Facial geometry data derived from such features is used solely to enable functionality such as visualization and measurement, and is not used to identify individuals or for advertising profiling.

17. User Uploaded Images and Processing

Certain features of the Services may allow or require you to upload images or other media, including for purposes such as virtual try-on, measurement, or submitting reviews.

By choosing to upload images or use these features, you acknowledge and consent to such processing as described in our Privacy Policy, and you further agree that you:

  • represent that you have all necessary rights and permissions to provide such content;
  • grant Yesglasses the right to process, analyze, and use such content solely for providing the requested Services and related functionality; and
  • acknowledge that such processing may involve automated technologies or internal review.

Such content will be used solely for:

  • providing the requested Services and related functionality;
  • maintaining system security and integrity;
  • providing customer support; and
  • improving the performance of those features in a manner consistent with our Privacy Policy.

Yesglasses does not use uploaded images to identify individuals.

You are responsible for ensuring that any content you upload does not violate the rights of any third party, including privacy, publicity, or intellectual property rights.

18. Reviews and Community Content

The Services may include features that allow users to submit reviews, ratings, images, or other content related to products (“Reviews”).

Reviews are provided by users and do not reflect the views, opinions, or representations of Yesglasses.

We reserve the right, but are not obligated, to:

  • monitor, review, edit, or remove Reviews;
  • refuse to publish Reviews that violate these Terms or applicable law;
  • organize, categorize, or highlight Reviews for user experience purposes.

Where Reviews include images or other User Content, such content may be displayed on the Services and used in accordance with Section 7 (Content Usage and Marketing Rights), subject to any consent provided.

19. Fraud, Abuse, and Order Control

We reserve the right, in our sole discretion, to refuse, cancel, or limit any order, transaction, or account activity for any reason, including but not limited to:

  • suspected fraud or unauthorized activity;
  • misuse of promotions, discounts, or referral programs;
  • excessive or abusive return behavior;
  • suspected resale or commercial use; or
  • violations of these Terms.

We may also restrict access to the Services or suspend accounts where user activity presents risk to Yesglasses, its operations, or other users.

20. Service Management and Moderation

We reserve the right, but are not obligated, to:

  • monitor use of the Services;
  • investigate potential violations of these Terms;
  • remove or restrict access to content, features, or accounts;
  • suspend or terminate access to the Services at any time, with or without notice.

We may also modify, suspend, or discontinue any part of the Services at our sole discretion.

21. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT, PRODUCTS, AND FEATURES PROVIDED THROUGH THEM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY LAW, YESGLASSES DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, AND WE DO NOT GUARANTEE ANY SPECIFIC RESULTS OR OUTCOMES FROM THE USE OF THE SERVICES OR PRODUCTS.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YESGLASSES, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS;
  • LOSS OF DATA;
  • LOSS OF USE;
  • BUSINESS INTERRUPTION;
  • PERSONAL DISSATISFACTION WITH PRODUCTS OR SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, YESGLASSES’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES, PRODUCTS, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  • (A) THE TOTAL AMOUNT PAID BY YOU FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM; OR
  • (B) USD $100.

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.

23. Indemnification

You agree to defend, indemnify, and hold harmless Yesglasses and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Services;
  • your violation of these Terms;
  • your User Content;
  • your violation of any third-party rights, including intellectual property, privacy, or publicity rights.

24. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any products purchased through the Services shall be resolved exclusively through binding arbitration, rather than in court, except for claims that may be brought in small claims court where permitted by law.

Arbitration shall be conducted on an individual basis by a recognized arbitration provider under its applicable rules.

You and Yesglasses agree that:

  • arbitration shall be conducted only on an individual basis;
  • class, collective, or representative actions are not permitted;
  • the arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration provision.

Before initiating arbitration, either party may elect to attempt to resolve the dispute informally by providing written notice to the other party.

25. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND YESGLASSES AGREE THAT ANY DISPUTE, CLAIM, OR PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

Unless otherwise prohibited by law, the arbitrator may not consolidate claims or preside over any form of representative or class proceeding.

26. Governing Law

These Terms and any disputes arising out of or related to these Terms, the Services, or any products purchased through the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

To the extent arbitration does not apply, any legal action or proceeding shall be brought exclusively in a court of competent jurisdiction located within the State of Delaware.

27. Data Usage in Services

In connection with your use of the Services, certain information may be processed to:

  • provide and operate the Services;
  • fulfill orders and provide customer support;
  • maintain security and prevent fraud;
  • improve service performance and functionality; and
  • conduct analytics in accordance with applicable law.

Nothing in these Terms expands the scope of data usage beyond what is described in our Privacy Policy.

These Terms, together with any Additional Policies, constitute the entire agreement between you and Yesglasses regarding the Services and supersede any prior agreements or understandings.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms at our discretion.
